YOKOHAMA, Japan, May 13, 2026 — Isuzu Motors Limited (headquartered in Yokohama, Kanagawa, Japan; President and CEO: Naohiro Yamaguchi; hereinafter “Isuzu”) has begun reviewing a merger with its subsidiary, UD Trucks Corporation (headquartered in Ageo, Saitama, Japan; President and CEO: Koichi Ito; hereinafter “UD Trucks”), targeting completion by March 2028. Through the merger, Isuzu aims to bring together the management resources of both companies to create greater value and enable faster decision-making.

 

Since UD Trucks joined the Isuzu Group in 2021, the two companies have steadily moved forward with business restructuring and operational integration across a wide range of areas. These include joint product development and mutual supply, production collaboration in Japan and overseas, reorganization of the domestic sales functions, and talent utilization.

 

However, the commercial vehicle industry is entering a period of major change, driven by decarbonization, advances in logistics, the evolution toward software-defined and increasingly intelligent vehicles, and intensifying global competition. To remain competitive in this rapidly changing environment, Isuzu believes it is essential to build a stronger and more sustainable management foundation, while also creating greater value through the optimal allocation of business functions and faster decision-making. Taking these factors into account, Isuzu will actively explore integrating the management resources of both companies.

 

Going forward, with the intention of completing the merger by March 2028, Isuzu will be carrying out communications with stakeholders, including customers, employees, and business partners, as well as reporting to and consulting with the relevant authorities.
